Provider: Rhino Bid LLC ("RhinoBid," "we," "us," or "our")
Support: support@rhinobid.com
Legal notices: Legal@rhinobid.com

These Terms of Service ("Terms") govern the RhinoBid software platform, including its supported mobile apps, website, web app, and related account features (the "Services"). Feature-specific agreements described in Section 2 also apply when you accept them for the relevant feature.

Important: RhinoBid provides software, not the contractor's work or the supplier's products. Sections 20–22 address business indemnification, service disclaimers, and limits on covered business claims. Those provisions contain exceptions and do not remove mandatory legal rights. These Terms do not create mandatory arbitration, a jury-trial waiver, or a class-action waiver.

1. Acceptance, eligibility, and the person or business using RhinoBid

You accept these Terms by selecting an agreement checkbox or other clearly identified acceptance control after being given an opportunity to review and retain them. Do not create an account or use a feature requiring acceptance if you do not agree. Merely receiving an estimate, visiting a public listing, or opening an invoice does not make you the contractor or supplier or impose that business's obligations on you.

To create or operate a RhinoBid account, you must be at least 18 and have reached the age of majority where you live, have legal capacity to enter this agreement, and be permitted to use the Services under applicable law. The Services are not directed to children. These account eligibility rules do not change privacy rights concerning information already received.

If you accept for a company or other organization (a "Business"), you represent that you are authorized to bind it. "You" means that Business for its account and activities, and otherwise the individual accepting for their own account. Authorized team members must comply with the access and use rules applicable to them. Accepting on behalf of a separate entity does not itself make an employee a personal guarantor of the entity's debts. A sole proprietor remains the individual business owner.

A contractor may act as a service provider in one transaction and as the customer of a supplier in another. The terms applicable to the actual role and transaction control; holding a Business account does not automatically convert every personal or customer transaction into a business-platform transaction.

2. Related agreements and which terms control

The following documents apply to their respective subjects when made available and accepted as required:

DocumentSubject
Business Payments Agreement, Payments Fee Schedule, and Refund and Dispute PolicyA Business's collection and management of its own invoice payments through RhinoBid Payments.
Supplier Invoice Payment AddendumSuppliers' invoice-payment links, including links shared by email or another channel.
Supplier Product Listing and Content License AgreementSupplier publication, on-hand inventory, product accuracy, content licensing, advertising, ranking, and listing withdrawal.
Customer Payment TermsThe customer's payment of a contractor or supplier invoice; not acceptance of the seller's business obligations.
Web Subscription Billing PolicySubscriptions purchased directly from RhinoBid on the web.
Applicable app-store terms and application licensePurchases and licensed-app use through Apple or another authorized app store.

The RhinoBid Privacy Policy explains information practices, permissions, retention, and privacy choices. It is not blanket consent to optional processing and does not replace an authorization required for an AI feature, advertising use, payment, or recurring subscription.

Mandatory law controls. A valid feature-specific agreement controls an inconsistent provision of these Terms only for its stated subject and parties. For payment-tool claims, the Business Payments Agreement's specific risk allocation controls; these Terms do not expand its cap to unrelated claims. The supplier listing agreement controls the limits of its content permissions. Billing-channel terms control channel-specific billing processes without eliminating RhinoBid's own duties. A customer or supplier cannot amend RhinoBid's obligations through their own sale terms.

The policies above are available through the relevant feature and the RhinoBid legal policies. Documents apply in the version validly accepted or otherwise lawfully applicable to the relevant event. An unpublished draft is not made effective merely because these Terms name it. These Terms do not independently amend an existing feature-specific agreement, expand an older content license, or retroactively reduce accrued rights.

3. Accounts, business workspaces, and security

Provide accurate registration and business information, maintain a working contact email, and promptly update material changes. Use only accounts and workspaces you are authorized to access. A business name, listing approval, or payment-account verification is not RhinoBid certification of a business's licensing, insurance, workmanship, or inventory.

Keep credentials secure, use available security protections, and assign access only to authorized personnel. Do not share one personal login to evade a plan's user limits. Business administrators are responsible for lawful invitations, permissions, and timely removal of team access. Administrator status does not give a person ownership of another person's independent account or permission to use records outside their authorized purpose.

You are responsible for instructions you actually authorize, including actions of personnel within permissions you grant and automations you separately enable. A successful login is not conclusive proof that every subsequent action was authorized, and this provision does not excuse RhinoBid's security obligations.

Report suspected compromise, unauthorized edits, misdirected records, or fraudulent payment activity promptly to support@rhinobid.com. We may use proportionate identity, authority, and security checks for sensitive changes or recovery. Neither an account-recovery request nor a financial action will be approved solely because someone knows publicly displayed business details.

4. Access license, plans, and permitted business use

Subject to these Terms and the applicable plan, RhinoBid grants you a limited, nonexclusive right to access the Services and use supported features for your own lawful purposes or your Business's authorized operations. You may prepare and share permitted project deliverables with customers and collaborators. This does not authorize reselling access to the platform, transferring another person's login, or sublicensing RhinoBid's software.

For a downloaded app, the applicable app-store license and Section 13 also apply. Third-party and open-source components remain subject to their applicable licenses; these Terms do not remove rights those licenses or mandatory law grant.

Features, supported devices, permitted users, storage, and usage allowances are identified in the applicable plan or feature disclosures. Trial terms, resets, expiry of usage allowances, or additional charges must be disclosed before they apply. No overage charge or automatic upgrade is authorized solely by accepting these Terms. We may enforce disclosed limits and proportionate security or anti-abuse controls, but will not use a vague fair-use claim to impose an undisclosed permanent quota on a feature sold as unlimited.

Keep supported apps and browsers reasonably up to date. Compatibility can depend on hardware, operating-system support, connectivity, and permissions. Describing a planned feature or inviting beta testing is not a promise that the feature is presently available or included in a paid plan. Section 17 governs material changes to paid service.

5. Estimates, customer contracts, approvals, and professional responsibility

You are responsible for reviewing and approving the scope, quantities, units, pricing, labor, taxes, allowances, exclusions, schedule, customer identity, and sale terms before sending an estimate, quote, bid, invoice, or other business document. Check third-party data and AI-assisted output rather than presenting unverified suggestions as established facts. RhinoBid does not guarantee estimate accuracy, profitability, bid acceptance, customer solvency, or the outcome of a project.

Your customer contract is between you and that customer. You remain responsible for licensing, permits, insurance, personnel, workmanship, products, safety, warranties, delivery, and lawful performance of your obligations. RhinoBid does not undertake to act as your contractor, architect, engineer, surveyor, lawyer, accountant, tax adviser, employer, or project supervisor through these tools.

An electronic approval, signature, or recorded event may have legal consequences depending on intent, authority, the actual record, and applicable law. Verify the signer's identity and authority and any required disclosures. A signature graphic or status label alone is not a guarantee of authentication, notarization, enforceability, payment authorization, lien release, or completed work. Preserve the final record and relevant approval evidence; do not silently change an approved document and represent the revised version as what was signed.

Receiving a quote request, generating an estimate, or saving a payment method does not itself authorize a charge. Use the applicable payment and signature processes. Use of RhinoBid does not relieve either party of a duty imposed by law, including duties concerning customer funds or required professional review.

6. Your content and limited service permissions

"Your Content" means information and materials you submit or create in the Services, including project scope text, customer and business records, estimates, designs, plans, scans, photographs, documents, and messages, to the extent you hold rights in them. You retain those rights. RhinoBid does not acquire ownership of a customer's plans or a supplier's photographs merely because they are uploaded.

You represent that you have the rights and authority needed to submit Your Content and direct the permitted processing and sharing. Obtain necessary permissions for customer details, property images, plans, signatures, third-party media, and confidential information. Do not place private credentials, identity documents, or unnecessary sensitive information in public fields or ordinary project messages.

You grant RhinoBid a nonexclusive, worldwide, royalty-free license to host, copy, transmit, display, format, and process Your Content only as reasonably needed to provide the features you use, synchronize your account, follow authorized sharing instructions, protect the Services, and meet applicable legal obligations. We may use service providers for those purposes under appropriate restrictions. Geographic reach permits the relevant service processing; it does not override privacy safeguards for international transfers.

This service license is limited by the Privacy Policy, your valid choices, and more specific content permissions. It does not itself authorize public advertising with private project files, sale of personal information, or unrestricted model training. Supplier marketing and downstream contractor-document uses require the supplier listing agreement's permissions. AI-system improvement is addressed separately in Section 7.

When content is removed, the service license continues only as needed for authorized existing shared records, reasonable technical removal, restricted backups, security, disputes, or legal retention, consistently with the Privacy Policy and applicable law. Retained evidence or backup copies are not permission for new advertising or new training. A withdrawal cannot erase every copy independently and lawfully held by a recipient, but that does not excuse required removal from systems we control.

7. AI-assisted features, output, and project-scope improvement

7.1 Requested AI features

AI-assisted features may generate questions, descriptions, estimates, material suggestions, comparisons, and other outputs from the information provided and permitted reference data. Output can be incomplete, inaccurate, unsuitable, or similar to output supplied to someone else. Review the result and relevant sources before relying on it, sending it to a customer, ordering material, or performing work.

Subject to third-party rights and applicable content licenses, you may use output prepared for you for your lawful projects and business documents. RhinoBid does not claim ownership of Your Content merely because a feature processes it. No promise is made that an output is exclusive, copyrightable, or free of third-party rights. Supplier content included in output retains the restrictions of its source license.

Processing for a requested feature may involve an external AI provider as described in the Privacy Policy and relevant feature notice. We obtain required permission before sharing personal information with a third-party AI provider. Saving a document or scanning a room does not, by itself, authorize automatic AI analysis of every attachment.

7.2 Improving RhinoBid's own systems

Subject to the permissions, prior commitments, and choices in Privacy Policy Sections 4C, 6, and 8, RhinoBid may use eligible project scope descriptions and feedback or performance signals to develop, test, evaluate, train, and improve its own AI systems and estimating algorithms. Where you grant the necessary authorization and hold the relevant rights, you grant a limited, nonexclusive, royalty-free content license for that permitted use. This clause does not supply missing permissions concerning other people's information or third-party content.

Eligible scope descriptions are text describing the requested or planned work, including revisions in scope fields. This permission does not automatically include whole estimates, itemized prices, customer contact lists, payment records, photographs, floor plans, LiDAR scans, or unrelated attachments. It does not authorize public disclosure of private scopes or their use as advertising copy. We apply the minimization, restricted access, retention, and review safeguards described in the Privacy Policy.

Descriptions collected under an earlier feedback-only commitment remain excluded from this expanded use unless the separate informed affirmative permission and other required authorizations described in the Privacy Policy have been obtained. Generic Terms acceptance, account synchronization, or continued use is not a substitute where purpose-specific permission is required. You may request exclusion from future improvement or withdraw relevant consent through the Privacy Policy's AI Improvement Choice process without deleting a saved project.

We do not use personal information or estimate content to train third-party AI models, and the scope permission does not authorize fine-tuning a third-party model or independent provider training. Copying supplier text into a scope does not expand the supplier's license. Legally required corrections, deletion, and restrictions also apply to improvement records and any required treatment of derived artifacts.

8. Floor plans, scans, measurements, planning, and simulations

Supported design and planning features, including floor plans, 3D or LiDAR scans, site information, layouts, and simulations, assist with visualization and preparation. They are not, merely because RhinoBid generates them, professional designs, boundary surveys, inspection reports, permit approvals, or certified engineering analyses.

Verify dimensions, scale, units, material suitability, site conditions, loads, clearances, structural assumptions, and applicable requirements using appropriate field measurements and qualified professionals before construction, demolition, fabrication, excavation, or another consequential operation. A scan or map does not establish hidden conditions, utility locations, structural capacity, legal property boundaries, or safe access. Public and third-party data can have limitations in coverage, age, and detail.

Where simulation or planning features are available, use them as planning aids rather than as permission to exceed a manufacturer's ratings or replace required inspections, calculations, utility-location procedures, or safe work methods. Do not use the Services as a sole life-safety system, emergency response service, or direct control for hazardous equipment. RhinoBid does not warrant that a visually realistic result is a validated prediction of physical behavior.

Only scan or photograph property, people, and materials when you have lawful access and necessary authority. Protect confidential site information and private interiors. These responsibilities do not excuse RhinoBid from its own express promises, actionable errors, or legal obligations.

9. Cloud storage, mobile/web synchronization, and shared records

RhinoBid's supported mobile apps and web app are connected through your account and business workspace. Supported content saved to the account—including floor plans, scans, estimates, photographs, documents, and project updates—is uploaded and stored through our hosting providers so you can access it on other supported devices. A floor plan scanned and saved from a phone can therefore be available on the web through the same account and relevant workspace.

Availability depends on successful upload and synchronization. Unsaved work or device-only files do not appear elsewhere solely because you are signed in. Connection problems, processing, or conflicting edits can delay updates; capture, viewing, and editing capabilities may differ across devices. Check the saved state before relying on a record or removing a local copy, and retain independent copies appropriate for your business and legal requirements.

Authorized administrators, team members, and recipients may access shared records according to their permissions and your sharing choices. Select the correct workspace and recipients. A forwarded share link may expose its contents depending on the sharing method. Synchronization does not make private information public or authorize advertising or model training by itself.

Editing or deleting live data can affect connected views. Previously finalized or lawfully retained documents may preserve their historical version under the applicable content license and Privacy Policy. These Terms do not promise unlimited storage or perpetual recovery, but do not remove our duty to honor valid retention, deletion, security, or access commitments.

10. Supplier listings, product discovery, and communications

Publishing supplier products requires the Supplier Product Listing and Content License Agreement. Active offers must meet its on-hand inventory, truthful information, actual pickup-location, content-rights, and no-dropshipping requirements. Suppliers remain responsible for reviewing and updating their prices, quantities, descriptions, photographs, contact details, and sale conditions.

Suppliers may edit, unpublish, or delete their listings as described in that agreement. RhinoBid may reject, hide, remove, or restrict noncompliant content, request corrections, and suspend listing privileges. We do not independently rewrite supplier prices or substantive listing facts. Moderation, presentation formatting, and separately identified platform information do not transfer responsibility for supplier statements to RhinoBid.

Authorized listing content may appear in supplies lists, AI estimates, contractor documents, comparisons, and RhinoBid promotion within the accepted license. Designated pickup addresses and business phone numbers may be displayed for contact and directions. This does not expose private account or customer records or authorize unrelated marketing contacts.

Competing offers may receive more visibility based on relevance, comparable price, specifications, stock, distance, freshness, and other disclosed factors. No equal-exposure, ranking, sale, or lowest-price guarantee is made. Any sponsored placement must be appropriately disclosed; a general subscription does not buy undisclosed priority.

The current supplier listing feature is product discovery and estimating, not an integrated in-app shopping cart. Viewing a product, adding it to a supplies list, or requesting a quote does not itself reserve inventory, place an order, accept a sale for the supplier, or incur the invoice-payment application fee. Suppliers may separately send invoice-payment links under the payment agreements. Confirm current price, availability, suitability, and pickup or delivery terms with the supplier before purchase.

11. Contractor and supplier invoice payments

Using RhinoBid Payments to collect invoice payments requires acceptance of the Business Payments Agreement and applicable payment policies; suppliers also accept the invoice-payment addendum. The collecting contractor or supplier is the seller and merchant of record for the described Stripe Connect direct charges. Its customer pays that business's connected Stripe account, subject to Stripe's rules. RhinoBid provides payment-management software rather than collecting the whole invoice into its own bank account and redistributing it.

The Payments Fee Schedule governs RhinoBid's standard application fee, calculation, cap, and fee changes. Stripe's fees are separate. These Terms introduce no custom supplier pricing, new payment fee, or universal payment-request expiration. Sharing a RhinoBid-generated payment link by email or another channel does not remove the terms applicable to a payment processed through that integration.

Payment processing, balance availability, and payout are separate stages. A successful payment may later be returned, refunded, or disputed. Customer invoice credit, refund funding, original fee retention or correction, dispute evidence, and account restrictions follow the payment policies. The general subscription provisions below do not decide a contractor's or supplier's refund obligation to its customer.

RhinoBid does not offer escrow, insure a transaction, verify construction progress, or promise it can override Stripe restrictions. This agreement grants no unrestricted bank-debit or connected-balance access. Customers retain the rights described in the Customer Payment Terms and mandatory law; an invoice payer does not accept the seller's business indemnity or liability cap merely by paying.

12. Direct web subscriptions, renewals, and cancellation

A subscription purchased directly on the web is software access from RhinoBid, ordinarily processed through Stripe, not an invoice payment to a contractor or supplier. The Web Subscription Billing Policy and purchase disclosures control the billing details. Plan prices and allowances are disclosed at purchase rather than fixed permanently by these Terms.

Before a recurring purchase, we disclose the plan, amount, currency, interval, applicable tax, trial or promotional conditions, later recurring price, and cancellation method. Recurring charges require express authorization. General Terms acceptance alone does not enroll you in a paid plan. Optional upgrades and additional recurring charges require appropriate disclosure and authorization.

You may stop automatic renewal using the online subscription-management control in your account. Contact support@rhinobid.com if that control is unavailable. A valid cancellation before the disclosed renewal cutoff stops the next renewal; we do not impose an undisclosed advance-cancellation cutoff. We will confirm the cancellation and access end date. Unless applicable law or the purchase terms provide otherwise, voluntary cancellation ends renewal while access continues through the paid period, without an ordinary prorated refund for unused time.

We correct duplicate or erroneous charges and provide legally required refunds. If RhinoBid terminates your direct web paid subscription without breach by you and does not provide the remaining prepaid access, we refund the amount attributable to the unused period. Temporary interruptions do not automatically create a service-credit entitlement, but mandatory remedies and express commitments remain in effect.

RhinoBid gives at least 30 days' notice before its subscription price increases take effect, plus any longer notice or additional consent required by law. Changes do not reprice an already-paid term. Trial-ending, renewal, and other notices required by law will be provided. Authorized failed payments may be retried as disclosed and permitted; future-service collection stops after effective cancellation except for charges already lawfully incurred.

Deletion of the account or workspace holding a direct web subscription must also stop unintended future renewals for that subscription. Deleting an employee's separate profile does not automatically cancel the Business's plan. We explain the relevant scope and effect during deletion. Apple-billed subscriptions require the separate process in Section 13.

13. Apple subscriptions and app-store licenses

An Apple In-App Purchase subscription is billed through the purchasing Apple Account under the terms presented by Apple. It is separate from RhinoBid's Stripe subscriptions and contractor/supplier invoice payments. Check the billing channel before purchasing another subscription; using a verified plan on the web does not itself create a second Stripe subscription or transfer Apple payment credentials.

Manage an Apple-billed subscription through Settings > your name > Subscriptions > RhinoBid, or follow Apple's cancellation instructions. Cancellation timing, trials, renewal notices, price-consent requirements, and any immediate effect of cancellation follow Apple's applicable purchase terms and mandatory law. Apple-billed refund requests use Apple's refund process. RhinoBid does not guarantee Apple's decision or excuse its own legal duties by referring you to Apple.

RhinoBid uses appropriate purchase verification and subscription records to administer access and restore eligible purchases. Access across mobile, web, and authorized team members remains limited to the purchased plan and supported features. Restoring a purchase does not restore project data already validly deleted. Contact support@rhinobid.com for RhinoBid entitlement, account-linking, or restoration problems; do not send your Apple Account password.

Deleting RhinoBid from a device or deleting a RhinoBid account does not automatically cancel Apple's recurring billing. We explain this and provide the supported cancellation route without requiring you to postpone a valid privacy deletion request until the subscription expires.

For apps obtained through Apple's App Store, the Apple Standard Licensed Application End User License Agreement governs the downloaded-app license unless a different valid custom license is expressly provided for that app. These Terms address RhinoBid's service relationship and do not replace or reduce rights under that app license, Apple's applicable usage rules, or mandatory law. RhinoBid, not Apple, provides support for RhinoBid's software and remains responsible for obligations assigned to the application provider. A conflicting downloaded-app license issue is governed by the applicable app license, not resolved by importing these Terms' business cap into Apple's rights.

Purchases through another authorized app store, where offered, follow that store's billing and cancellation process and applicable license. These Terms do not represent that every billing channel, sharing entitlement, or paid feature is offered in every region.

14. Privacy, communications, and information about other people

Our Privacy Policy governs the information practices it describes, including cross-device storage, Stripe and Apple records, supplier publication, scope-description improvement, permissions, retention, and privacy requests. We do not sell personal information or share it for cross-context behavioral advertising. Nothing in these Terms expands the Privacy Policy's data uses or removes a valid privacy choice.

Businesses must have authority and provide required notices before submitting information about their customers, personnel, or property. They must use information received from other users only for authorized purposes. Access to a phone number, address, quote request, or invoice is not consent to spam, unrelated automated marketing, harassment, or publishing private details.

We may send service, security, billing, and legal communications needed for the account. Optional marketing and device permissions follow the Privacy Policy and applicable consent requirements. Sending a document through RhinoBid does not guarantee the recipient read it or that an email avoided a spam filter. Preserve independent records where needed for your obligations.

Use the published privacy request and deletion controls for personal-information requests. A disputed bill does not remove privacy rights, and a privacy request does not settle a purchase dispute. These Terms do not authorize unnecessary retention or require a person to waive a complaint or other mandatory right to receive service.

15. Prohibited activity

Do not use the Services to commit fraud; impersonate a person or business; submit fictitious invoices or unauthorized payments; publish deceptive prices, false stock, unsafe or prohibited products, or fake endorsements; infringe intellectual-property or privacy rights; or misrepresent licensing, work completion, or approval.

Do not access another account or workspace without authority, distribute malware, insert hidden instructions designed to manipulate AI systems or expose private information, evade security controls or disclosed usage limits, or interfere with availability. Automated collection or resale of nonpublic content requires permission. Do not bulk-extract others' photographs, customer records, or supplier catalogs beyond the rights granted for the feature.

Do not reverse engineer, copy, resell, or circumvent protected software except where applicable law or an applicable component license permits it. This restriction does not prohibit lawful independent development, use of public-domain information, interoperability rights that cannot be restricted, or good-faith security reporting within lawful authorization.

Do not threaten, harass, discriminate unlawfully, exploit minors, send unlawful communications, manipulate reviews or rankings, or make knowingly false abuse reports. A truthful negative review, lawful comparison, good-faith complaint, or exercise of privacy, billing-error, or dispute rights is not a violation merely because it is unfavorable to RhinoBid or another user.

16. Intellectual property, reporting, and moderation

RhinoBid and its licensors retain rights in the software, interfaces, branding, documentation, and other proprietary service materials, subject to Your Content, licensed supplier material, open-source components, and independently owned information. No broad ownership claim is made over public facts or user projects. You may provide voluntary product feedback; any use of suggestions does not grant rights in attached confidential project material or transfer ownership of a consumer review.

Report infringement, false listings, security concerns, or other policy violations to support@rhinobid.com or, for intellectual-property and legal notices, Legal@rhinobid.com. Identify the relevant content and location, the reason for the report, and how to contact you. Where a designated copyright-notice or counter-notice procedure is published, use that procedure for notices requiring its formalities.

We may investigate and remove or restrict content under the applicable agreement and law. We will terminate repeat copyright infringers in appropriate circumstances and respect applicable notice and counter-notice procedures. We do not promise universal prepublication review, and removal is not a final legal ruling about ownership or infringement. An IP complaint does not give the complainant access to another user's private data.

17. Third-party services, beta features, and service changes

The Services may interoperate with hosting, AI, mapping, payment, app-store, or other providers and display third-party information. Those providers can have separate terms, permissions, and availability limits. You must comply with applicable third-party terms when using their features. We do not guarantee independent providers' performance, but remain responsible for obligations we owe and for our own actionable conduct.

A separately identified preview or beta feature may change or be withdrawn and may have additional disclosed limitations. Do not rely on it as the sole basis for safety-critical or irreversible decisions. Labeling a feature beta does not cancel paid-service promises or mandatory rights.

We may improve or modify the Services and retire features. For a material reduction in paid functionality, we give reasonable advance notice where practicable, subject to urgent legal or security needs. We will not use this paragraph to retain payment for a remaining paid service we terminate without user breach and do not provide; the applicable billing policy and mandatory remedies govern. No new charge or materially broader data use is authorized merely because a feature changes.

18. Support and issue resolution

Contact support@rhinobid.com for account, synchronization, tool, supplier-publication, subscription-access, and RhinoBid Payments integration issues. A seller remains the first contact for its work, products, availability, pickup, delivery, cancellations, and purchase refunds. Stripe or Apple involvement may be needed for matters controlled by those providers.

RhinoBid may request reasonably necessary records, verify authority, investigate, and refer or escalate a matter through the appropriate provider channel. Do not send full payment credentials, passwords, or unnecessary sensitive records in ordinary support messages. We do not promise a particular response time, uninterrupted live support, a provider decision, or reimbursement unless an applicable written commitment or law requires it.

Support assistance does not make RhinoBid a party to a construction contract or product sale. These provisions do not excuse misleading statements, erase an authorized written commitment, impose a claim-forfeiture deadline, or prevent a timely payment-network, bank, court, or legally protected complaint.

19. Suspension, termination, and data access

We may reject content, limit a feature, suspend access, or terminate an account when reasonably necessary to address a violation or suspected violation, fraud, abuse, infringement, a safety or security risk, failure to meet eligibility requirements, nonpayment after appropriate notice, or legal/provider requirements. Immediate action without advance notice may be necessary to prevent harm or comply with law. Otherwise, where reasonably appropriate, we explain the issue and permit a correction or review request. Paid status does not entitle a user to keep violating content published.

You may stop using the Services, cancel renewal through the applicable billing channel, and request account or content deletion through the published controls. Stopping use, canceling a subscription, unpublishing a product, deleting a user profile or Business workspace, disconnecting Stripe, and closing a separate provider account are different actions. We explain relevant effects and verify authority without imposing unnecessary obstacles.

Where lawful and reasonably practicable, we provide an opportunity to retrieve content you are entitled to access before a planned account closure, subject to security, third-party rights, and lawful retention or removal obligations. The Privacy Policy controls data handling; there is no promise of perpetual hosting or restoration after valid deletion. Restrictions do not authorize confiscating Stripe-held funds, erasing a customer's lawful refund, or continuing unintended direct web renewals after effective cancellation.

Accrued payment obligations, valid record-retention duties, limited surviving content permissions, applicable indemnities, and claim provisions survive only for matters and durations within their stated scope. We do not restrict a person merely for exercising mandatory rights or making a good-faith complaint. Ending the account does not retroactively change the terms applicable to earlier events.

20. Business indemnification

This section applies to a Business accepting these Terms, not to a person merely viewing a listing, paying an invoice, or using the Services solely in a personal or household capacity. A more specific valid indemnification provision controls its own subject; the same loss cannot be recovered twice.

To the extent permitted by law, the Business will defend, indemnify, and hold harmless Rhino Bid LLC and its affiliates, members, managers, directors, officers, employees, and authorized representatives, solely concerning their work for or management of RhinoBid (the "RhinoBid Parties"), against third-party claims and resulting damages, settlements, and reasonable legal costs to the extent caused by the Business's unlawful or infringing content; missing permissions it represented it held; fraud; unlawful use of customer information; defective or unlawful work or goods; failure to perform its customer obligations; or material breach of these Terms.

This does not require indemnification for a RhinoBid Party's own negligence, gross negligence, fraud, willful misconduct, breach, or use outside an authorized content license. Defense duties apply to allegations within the covered scope, with reasonable allocation and adjustment between covered and excluded matters. RhinoBid will give reasonably prompt notice and cooperation; late notice reduces the obligation only to the extent it materially prejudices the defense.

Defense counsel must be reasonably acceptable to the affected party. No settlement may admit its fault, impose a nonmonetary obligation, or require its payment without written consent, and a settlement must include an appropriate release. If the Business fails to undertake a required defense after reasonable notice and opportunity, a RhinoBid Party may defend and seek reasonable, documented covered costs. This section authorizes no administrative fine, personal guarantee, or unrestricted account debit.

21. Service disclaimers

TO THE EXTENT PERMITTED BY LAW, AND SUBJECT TO SECTION 22.4, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. RHINOBID DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION, ACCURATE AI OUTPUT, A PARTICULAR BID OR BUSINESS RESULT, SUPPLIER STOCK OR FULFILLMENT, PROFESSIONAL OR REGULATORY APPROVAL, OR PERFORMANCE OF INDEPENDENT THIRD PARTIES.

No disclaimer negates an express service promise, authorizes deceptive advertising, excuses mandatory security or privacy duties, or overrides a refund, remedy, warranty, or other right that cannot lawfully be excluded. The app-store license and feature-specific agreements govern their stated subjects. A supplier's or contractor's duties to its customer are not disclaimed on that business's behalf by these Terms.

22. Limits on covered business liability; exceptions

22.1 Scope

This section applies only to monetary claims by a Business that has accepted these Terms relating to RhinoBid's general, non-payment Services. It does not impose a business cap on a customer merely paying an invoice or on a person using the Services solely for personal or household purposes. A statutory right can protect a Business; its label does not remove that protection.

A payment-tool claim governed by the Business Payments Agreement remains subject to that agreement's limits and exceptions, not this cap. Listing claims remain subject to the Supplier Product Listing and Content License Agreement, together with this separately accepted general limitation only where lawfully applicable. The applicable app license controls downloaded-app license conflicts. These Terms do not silently replace or increase another agreement's cap.

22.2 Excluded business losses

TO THE EXTENT PERMITTED BY LAW, AND SUBJECT TO SECTION 22.4, NO RHINOBID PARTY WILL BE LIABLE TO THE BUSINESS FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST ANTICIPATED SAVINGS, LOSS OF GOODWILL, AND BUSINESS INTERRUPTION ARE ALSO EXCLUDED, WHETHER CHARACTERIZED AS DIRECT OR INDIRECT, EVEN IF FORESEEABLE OR A RHINOBID PARTY WAS ADVISED OF THEIR POSSIBILITY.

22.3 Contractual cap for general business claims

TO THE EXTENT PERMITTED BY LAW, AND SUBJECT TO SECTION 22.4, THE TOTAL COMBINED LIABILITY OF ALL RHINOBID PARTIES FOR COVERED CLAIMS ARISING FROM THE SAME EVENT OR RELATED SERIES OF EVENTS WILL NOT EXCEED THE GREATER OF (A) US $100 OR (B) THE QUALIFYING RHINOBID SOFTWARE-SUBSCRIPTION AND NON-PAYMENT-SERVICE FEES ACTUALLY PAID BY OR ON BEHALF OF YOUR BUSINESS DURING THE 12 MONTHS IMMEDIATELY BEFORE THE EARLIEST EVENT GIVING RISE TO THOSE CLAIMS.

Qualifying fees are amounts paid for the affected RhinoBid service, including verified app-store purchases allocated to that Business. For a bundled plan containing the affected service, the full plan fee counts, not an undisclosed allocation. Exclude taxes, refunds, customer invoice payments, Stripe processing charges, and RhinoBid invoice-payment application fees. App-store commissions are not deducted from the subscriber's qualifying plan payment. If the Business has used the service for less than 12 months, use fees paid during that shorter period.

The limit is shared across the related claims, users, accounts, legal theories, and RhinoBid Parties; it does not multiply for each document or defendant. Related events include a continuing failure from the same underlying cause, not every unrelated problem merely because it occurs on the same platform. This is not a lifetime cap for all unrelated incidents or a promise to pay $100. The Business must establish a legally recoverable loss and responsibility. The same loss cannot be recovered under multiple agreements.

22.4 Exceptions, legal theories, and independent provisions

NEITHER THE EXCLUSIONS NOR THE CAP LIMIT LIABILITY FOR A RHINOBID PARTY'S FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT; AN OBLIGATION TO PAY A REFUND EXPRESSLY OWED UNDER APPLICABLE BILLING TERMS OR TO RETURN FUNDS IMPROPERLY COLLECTED OR HELD; OR LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

Subject to those exceptions and mandatory law, these business limitations apply to contract, warranty, tort (including ordinary negligence), and other legal theories to the extent lawful. They do not bind regulators, eliminate mandatory privacy or security obligations, cap our separate obligations to Stripe or Apple, or impose another Business's obligations on nonparties.

The exclusions and cap are intended to operate independently as a permitted allocation of risk reflected in the software pricing. If one provision is invalid, a separate enforceable provision remains applicable; no court is required to rewrite an invalid clause. An uncapped obligation does not enlarge the cap for a separate covered claim. No provision waives nonwaivable consumer protections or relieves RhinoBid from responsibility solely by calling an account a business account.

23. Electronic notices and changes to these Terms

Keep a working account email. Subject to applicable consent and delivery rules, we may send operational notices, receipts, policy copies, and changes electronically through the account or registered contact channel. You may retain or print the Terms and request an available copy. Legally required separate electronic-record disclosures or consents remain applicable.

We will provide at least 30 days' advance notice of material adverse changes to these general Terms, unless a shorter period is reasonably necessary for law or an immediate security risk. The exception does not authorize an undisclosed discretionary fee increase. Feature-specific and billing-channel notice rules also remain applicable. Nonmaterial clarifications may be posted with the updated date.

Changes apply prospectively. We obtain renewed affirmative acceptance before applying a newly introduced or materially expanded business liability limitation to a Business's future affected use. New supplier advertising permissions, broader use of previously collected information, and other changes requiring separate consent are not adopted merely by posting new Terms or relying on continued use. Existing rights and obligations remain governed by the applicable prior terms and mandatory law.

You may decline a change by stopping the affected use before it takes effect and canceling renewal where relevant. We will not use the change process to remove paid-service or refund rights. A support conversation changes these Terms only through an authorized express written agreement; this does not excuse fraud or negate a valid written commitment.

24. Governing law and general provisions

Texas law governs these Terms without displacing mandatory law that applies despite that choice. Except where mandatory law provides otherwise, disputes between RhinoBid and a Business accepting these Terms will be brought in state courts located in Travis County, Texas, or federal courts serving that county. A consumer retains any nonwaivable right to another law or forum. These Terms create no mandatory arbitration, jury-trial waiver, or class-action waiver.

For a service dispute, provide reasonably available details to Legal@rhinobid.com so the parties can attempt a good-faith resolution. This does not shorten a filing period, impose a notice-based forfeiture or mandatory waiting period, prevent timely court action or urgent relief, or delay a required provider or legal notice. Informal discussions do not automatically suspend a deadline.

These Terms and the applicable valid supplemental agreements form the agreement for their stated subjects. They do not supersede specific privacy, content-use, or customer rights without the required process. If a provision is unenforceable, it is severed to the extent possible without defeating the lawful purpose; a failure to enforce one provision is not a waiver of others.

You may not assign your account or this agreement without consent except as law permits. RhinoBid may assign the agreement in a genuine merger, restructuring, or sale of the relevant business if the successor assumes its obligations and required notices are provided. Assignment does not expand content licenses, transfer a Stripe account contrary to its requirements, or authorize broader information use.

RhinoBid Parties are intended beneficiaries only of Sections 20–22 to the extent those provisions protect them. Any third-party rights under an applicable app license remain unaffected. Ownership or affiliation does not make Great Smart Systems LLC or another owner a platform co-provider or guarantor. No partnership, employment, construction contract, or agency to enter customer sales is created by ordinary platform use.

Unavoidable events outside a party's reasonable control may excuse performance only to the extent lawfully permitted, and do not erase money already owed, refund rights, reasonable mitigation, or mandatory duties. Provisions survive termination only as needed for their stated lawful purposes.
